Company registration in Lithuania

Formation of holding structures

A holding company (a parent company) and its subsidiaries make it easier to attract investors, protect the business from aggressive creditors, secure tax breaks, and expand the business.

Reorganisation, restructuring, and liquidation

I assist in the reorganisation of legal entities: by division (the reorganised company ceases to exist and new companies are established in its place); by merger (one company is merged with another, or two existing companies are merged into one, thus creating a new legal entity); or by division (the rights and obligations of an existing legal entity are divided among other operating legal entities).

I assist with the restructuring of legal entities: changing the legal form of a small partnership (MB) to a private limited liability company (UAB); changing the legal form of a sole proprietorship to a private limited liability company (UAB) or a small partnership (MB); and changing the legal form of other legal entities, if permitted by law (for example, a public institution (VšĮ) cannot be reorganised into a private limited liability company (UAB)).

I assist with the liquidation (termination of activities and deregistration from the public register) of legal entities; provide advice, prepare documents, and represent clients in their dealings with tax administrators and registries; coordinate the submission of documents to the archives; and provide liquidator services.
