Company registration in Lithuania

I assist in establishing legal entities of all legal forms:

  • Public limited liability company (“Akcinė bendrovė”)
  • Private limited liability company (“Uždaroji akcinė bendrovė”)

  • Public institution (“Viešoji įstaiga”)

Formation of holding structures

A holding company (a parent company) and its subsidiaries make it easier to attract investors, protect the business from aggressive creditors, secure tax breaks, and expand the business.

I advise on the creation of holding companies and help establish and administer them.

Reorganisation, restructuring, and liquidation

I assist in the reorganisation of legal entities: by division (the reorganised company ceases to exist and new companies are established in its place); by merger (one company is merged with another, or two existing companies are merged into one, thus creating a new legal entity); or by division (the rights and obligations of an existing legal entity are divided among other operating legal entities).

I assist with the restructuring of legal entities: changing the legal form of a small partnership (MB) to a private limited liability company (UAB); changing the legal form of a sole proprietorship to a private limited liability company (UAB) or a small partnership (MB); and changing the legal form of other legal entities, if permitted by law (for example, a public institution (VšĮ) cannot be reorganised into a private limited liability company (UAB)).

I assist with the liquidation (termination of activities and deregistration from the public register) of legal entities; provide advice, prepare documents, and represent clients in their dealings with tax administrators and registries; coordinate the submission of documents to the archives; and provide liquidator services.

Registration of taxpayers and service providers, obtaining licenses

I help companies register as value-added tax (VAT) payers, obtain a VAT code, and register a permanent establishment in Lithuania for tax purposes.
